Thailand made room for property specifically

Many regulators treat property-backed tokens as an awkward edge case. Thailand defined clear rules for their interpretation.

  • Property-backed tokens got their own carve-out

    The regulator removed the retail investment cap for tokens backed by real estate or by income from real estate. Retail investors had been limited to 300,000 baht each. The limit was lifted to match the rules to the risk.

  • Platform operator compliance

    Platform operators require SEC approval to sell Investment tokens, and subsequent issuers will be subject to a screening process. Portals must be Thai companies with minimum registered capital of 5 million baht.

  • The smart contract has to be enforceable

    An issuer applicant must show the regulator that the business model and the smart contracts are enforceable, and must be a limited or public limited company that is not insolvent. The code is part of the filing, not a detail.

  • Advertising rules are specific and strict

    No enticing or pressuring investors into impulsive decisions, no implying guaranteed returns, risk warnings required, and any external information must come from reliable sources that are clearly named.

  • One filing can cover several offerings

    Shelf filing lets an issuer offer multiple tokens under a single application where the underlying assets are of similar nature, with no cap on the number of offerings within two years of approval.

How to start

  1. 1. Tell us about the property

    What you own and what you want to raise. We say plainly whether this fits, including when it does not.

  2. 2. A Thai lawyer joins

    Our local partner sets the structure and pathway for becoming an SEC compliant portal together with your disclosure requirements for the issuance.

  3. 3. We launch your platform

    We set up the platform under your brand and domain with the token contract, investor checks and the investor portal. The smart contract is audited by Hacken. Two to four weeks.

The legal work and the launch run in parallel. In Thailand the pace is set by the portal screening and by regulator approval of the filing before the offering opens. Your lawyer starts on day one.
