Debt tokens to fund your next build

Raise development capital as tokenized bonds or notes – issued to a wider pool of investors, with automated interest payments, transparent terms and settlement in days instead of weeks.

  • Backed by a real legal entity
  • Investor checks built in
  • Live ownership records

Are real bonds already being issued this way?

Yes – and not by startups. Governments, a DAX-listed manufacturer and the EU's own bank have all done it in production.

Hong Kong Government

HK$6B · 1-day settlement

In February 2024 the Hong Kong government issued the world's first multi-currency digital green bond across HKD, RMB, USD and EUR – collapsing five-day settlement to a single day. When a sovereign treasurer chooses on-chain issuance for a deal this size, the technology has cleared every institutional bar.

Siemens

€60M · public chain

In 2023 Siemens issued a one-year digital bond directly to investors on the Polygon public blockchain under Germany's eWpG – no paper certificate, no central clearing house. A DAX-listed industrial issuer going straight to investors on a public chain is a clear signal that legacy infrastructure is optional.

What you can fund with debt tokens

Tokenized debt works best where cash flow and collateral are clear. Here is where it fits – and where it does not.

Strong fit

  • Ground-up residential or commercial development
  • Bridge and mezzanine financing for active projects
  • Refinancing income-producing assets
  • Portfolios with predictable, documented cash flow
  • Raises with clear collateral and a defined exit

Weak fit

  • Raw land with no permits or timeline
  • Distressed assets with no cash flow
  • Raises too small to cover issuance costs
  • Investors in markets you cannot legally approach

How it works – from your asset to your investors

What gets tokenized isn't the property directly – it's the SPV or LLC that owns it. Investors buy tokens that represent a fraction of that company.

  1. 1

    You bring the asset

A real property you own and control, held by an SPV or LLC. That company – not the building itself – is what gets tokenized.

  2. 2

    We build your platform

A white-label platform under your brand and domain, with an audited smart contract, investor portal and admin panel. Live in about two weeks.

  3. 3

    Investors come in

They pass KYC/AML with Sumsub, then buy token fractions paying in fiat or crypto – all inside your platform.

  4. 4

    You run and grow it

You own the brand, the analytics and the investor relationship. We keep the software running with support and updates.

We provide tokenization software – not a ready-made marketplace with built-in demand. Legal structuring and regulatory approvals run separately and depend on your jurisdiction.

Debt token financing – key questions

  • What is a debt token?

A debt token is a tokenized debt instrument – a bond or note issued on a blockchain. It represents a claim to repayment of principal plus interest, with the terms encoded directly in the token.

  • Is tokenized debt legal?

Tokenized bonds and notes are issued under existing securities law, typically through a regulated SPV and to qualified investors. Tokenizer.Estate provides the software – the offering itself is structured with your own legal counsel in your jurisdiction.

  • How fast can we issue?

Once your legal structure and asset data are ready, issuing on the platform typically takes 2–8 weeks, depending on the complexity of the offering.

  • How is this different from raising equity?

Equity tokens sell ownership in the project; debt tokens borrow capital against it. With debt tokens you keep full ownership and repay investors principal and interest on a fixed schedule.

  • Who can invest in my debt tokens?

You control eligibility. KYC/AML and investor-accreditation checks are built into the platform, so only verified, permitted investors can subscribe and hold the tokens.
